Femera Terms of Service

1. Introduction
Welcome to Femera. These Terms of Service ("Terms") govern your access to and use of the Femera website, mobile application, platform, software, content, tools, features, and related services (collectively, the "Services"). By accessing, registering for, downloading, or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2. Who We Are
Femera is a women's health and wellness platform designed to support women throughout different stages of adult life, including reproductive health, hormonal wellbeing, fertility, perimenopause, menopause, healthy aging, and overall wellness. The Services are operated by Femera LLC, a company registered in the Qatar Financial Centre (QFC License No. 5391), with registered office at QFC Business Centre, Office No. 4, Floor 9-902, QFC Tower 1, West Bay, Doha, Qatar.
3. Eligibility
You may use the Services only if: you are at least eighteen (18) years old; you possess legal capacity to enter into binding agreements; your use of the Services complies with applicable laws and regulations. By using the Services, you represent and warrant that you meet these requirements.
4. Account Registration
Certain features require registration of a user account. You agree to: provide accurate and complete information; maintain current account information; safeguard your credentials; promptly notify Femera of unauthorized account access. You remain responsible for activities occurring under your account. Femera reserves the right to suspend or terminate accounts that contain inaccurate, misleading, fraudulent, or incomplete information.
5. Health and Wellness Information
The Services may allow users to record, upload, create, store, or manage information relating to: menstrual cycles; fertility; reproductive health; hormonal wellbeing; symptoms; pregnancy; mood; energy levels; sleep; lifestyle factors; wellness objectives; other health-related information voluntarily provided by users. Users remain solely responsible for the accuracy and completeness of information submitted through the Services. Femera does not independently verify health-related information provided by users.
6. Medical Disclaimer
Femera is not a healthcare provider. Femera does not provide: medical advice; medical diagnosis; medical treatment; prescription services; emergency services; healthcare professional services. The Services are intended solely for informational, educational, self-awareness, and wellness purposes. Information provided through the Services should never be considered a substitute for professional medical advice, diagnosis, or treatment. Users should consult qualified healthcare professionals regarding medical concerns.
7. No Physician-Patient Relationship
Use of the Services does not create: a physician-patient relationship; a healthcare provider-patient relationship; a therapeutic relationship; a fiduciary relationship; any professional healthcare relationship. Femera does not act as a doctor, clinic, hospital, insurer, emergency service provider, or licensed healthcare professional.
8. Emergency Situations
The Services are not intended for medical emergencies. Femera does not monitor users in real time and cannot provide emergency intervention. If you believe you are experiencing a medical emergency, seek immediate medical attention and contact appropriate emergency services.
9. AI-Generated Insights
Femera may use artificial intelligence, machine learning, predictive analytics, and automated technologies to generate recommendations, reminders, insights, forecasts, or other outputs. Users acknowledge and agree that: AI-generated outputs may contain inaccuracies; AI-generated outputs are informational only; AI-generated outputs are not medical advice; AI-generated outputs should not replace professional healthcare guidance. All healthcare decisions remain the responsibility of the user. Femera makes no warranty regarding the accuracy, completeness, reliability, or suitability of AI-generated outputs.
10. User Content
Users retain ownership of content, information, notes, journal entries, and other materials submitted through the Services ("User Content"). By submitting User Content, you grant Femera a worldwide, non-exclusive, royalty-free license to store, process, reproduce, analyze, display, and transmit such content solely for operating, improving, securing, and supporting the Services. Femera does not acquire ownership of User Content.
11. Aggregated and De-identified Information
Femera may create aggregated, anonymized, statistical, or de-identified information derived from use of the Services. Such information will not reasonably identify individual users. Femera may use such information for analytics, product improvement, wellness research, benchmarking, service optimization, business operations, and development of future products and services. Femera will not knowingly attempt to re-identify de-identified information.
12. Acceptable Use
Users agree not to: violate laws or regulations; misuse the Services; upload malicious code; interfere with platform operations; impersonate others; submit fraudulent information; gain unauthorized access to systems; reverse engineer platform components; exploit vulnerabilities. Femera may suspend or terminate accounts for violations of these Terms.
13. Feedback
Any suggestions, ideas, comments, or feedback provided to Femera may be used without restriction or compensation. Users grant Femera the right to use such feedback for business, commercial, product development, and operational purposes.
14. Intellectual Property
The Services and all associated intellectual property rights are owned by Femera or its licensors. Protected materials include software, source code, designs, user interfaces, content, graphics, branding, trademarks, logos, service marks, algorithms, and databases. No rights are granted except as expressly stated in these Terms.
15. Trademarks
The Femera name, logos, branding elements, product names, and associated marks are proprietary intellectual property. Users may not use Femera trademarks without prior written permission.
16. Beta Features
Certain Services may be offered as beta, pilot, preview, or early-access functionality. Beta features may contain errors; may be incomplete; may change without notice; may be discontinued at any time. Users participate in beta programs at their own discretion.
17. Future Paid Services
Certain Services may currently be offered free of charge. Femera reserves the right to introduce subscriptions, memberships, premium features, paid content, and paid services. Applicable pricing and billing terms will be disclosed before purchase. No user will be charged without prior notice and consent.
18. Service Availability
Femera strives to maintain reliable Services but does not guarantee uninterrupted availability. The Services may be modified, updated, suspended, restricted, or discontinued at any time. Maintenance, technical issues, security concerns, or third-party dependencies may affect availability.
19. Privacy
Use of the Services is also governed by the Femera Privacy Policy. By using the Services, users acknowledge having reviewed and accepted the Privacy Policy.
20. Termination
Users may discontinue use of the Services at any time. Femera may suspend, restrict, or terminate access if: these Terms are violated; security concerns arise; required by law; continued access creates risk to Femera, users, or third parties. Termination does not affect rights and obligations accrued before termination.
21. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEMERA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. Femera does not guarantee that the Services will be uninterrupted, error-free, secure, or suitable for every user's needs.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEMERA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. FEMERA'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) USD 100; OR (B) THE TOTAL AMOUNT PAID BY THE USER TO FEMERA DURING THE PRECEDING TWELVE MONTHS. Certain jurisdictions may not permit some limitations contained in this section.
23. Indemnification
Users agree to defend, indemnify, and hold harmless Femera, its founders, employees, contractors, advisors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from use of the Services, User Content, violation of these Terms, or violation of applicable laws.
24. Changes to These Terms
Femera may update these Terms from time to time. Material changes may be communicated through in-app notifications, website notices, or email communications. Continued use of the Services after updates constitutes acceptance of the revised Terms.
25. Governing Law
These Terms and any dispute arising out of or in connection with the Services shall be governed by and construed in accordance with the laws and regulations of the Qatar Financial Centre (QFC). The QFC Civil and Commercial Court shall have exclusive jurisdiction over any disputes arising under these Terms, subject to any right of appeal or escalation available under applicable QFC law.
26. Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
27. Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between Femera and users regarding the Services.
